Welcome to SettleWise. By subscribing to or using SettleWise's services, you agree to be bound by these Terms and Conditions ("Agreement"). Please read them carefully.
1. Description of Service
SettleWise provides a Software-as-a-Service (SaaS) platform designed for small and medium businesses (SMBs) to manage, reconcile, and track incoming payments, payment confirmations, and collection workflows. The platform operates exclusively as a B2B (business-to-business) service.
2. Data Privacy and Confidentiality
2.1 SettleWise acknowledges and agrees that any and all data shared by the Client or collected by the system in the course of service delivery, including but not limited to payment confirmations, customer contact information, or financial data ("Client Data"), remains the sole property of the Client.
2.2 SettleWise will only use Client Data for the purposes explicitly authorized by the Client. Under no circumstance will SettleWise:
- Sell, share, rent, or trade Client Data to third parties.
- Use Client Data for marketing, profiling, or any purpose not previously agreed upon in writing.
2.3 All Client Data will be handled in accordance with applicable data protection laws of the United States and any relevant state regulations. SettleWise will implement commercially reasonable safeguards (including encryption, access controls, and regular audits) to protect Client Data.
3. Account and Subscription
3.1 Clients must create and maintain an active account to access the SettleWise platform.
3.2 Subscription is billed monthly in advance through an authorized credit card or other accepted digital payment methods.
3.3 The monthly fee includes access to the SaaS platform, preventive and corrective support, and any integrations configured with the Client's billing or payment systems.
4. Cancellation, Suspension, and Termination
4.1 A Client may cancel the subscription at any time with written notice; however, fees already paid are non-refundable.
4.2 If the Client fails to make three consecutive monthly payments, the service will be suspended.
4.3 Upon the sixth unpaid monthly invoice, SettleWise will notify the Client and request that all data be exported from the platform.
4.4 If twelve (12) months pass without payment, SettleWise will permanently delete all data associated with the account.
4.5 This deletion is a security and liability measure, as SettleWise acts solely as a data custodian and cannot continue to retain sensitive Client Data beyond a reasonable grace period without compensation.
5. Limitation of Liability
5.1 SettleWise shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use or inability to use the service.
5.2 Total liability shall not exceed the amount paid by the Client to SettleWise in the six months preceding the claim.
6. Modifications
SettleWise reserves the right to modify these Terms and Conditions at any time with prior written notice of no less than 15 days. Continued use of the service after changes are published constitutes acceptance of those changes.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA. Any disputes shall be resolved in courts located within the United States federal or state courts in Delaware.
