1. Agreement to Terms
By accessing and using SettleWise (“Service”, “Platform”, “we”, “us”, or “our”), you (“User”, “you”, or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Service.
SettleWise is operated by SettleWise, Inc., a company incorporated in the United States.
2. Description of Service
SettleWise is a financial technology platform that provides:
- Payment Processing and Reconciliation: Automated matching of incoming payments to outstanding invoices
- Invoice Management: Integration with accounting systems like QuickBooks for invoice tracking
- Customer Communication: Automated payment reminders and notifications via email
- Financial Reporting: Analytics and insights on payment patterns and cash flow
- API Integration: Connections to banking systems, accounting software, and payment processors
3. User Accounts and Registration
3.1 Account Creation
- You must provide accurate, complete, and current information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You must be at least 18 years old or the age of majority in your jurisdiction
- You must have the authority to enter into this agreement on behalf of your organization
3.2 Account Security
- You are solely responsible for all activities under your account
- You must notify us immediately of any unauthorized access or security breach
- We reserve the right to suspend or terminate accounts that violate these Terms
3.3 Organization Accounts
- Business accounts require valid business information and authorization
- Multiple users may be associated with a single organization account
- Organization administrators are responsible for managing user access and permissions
4. Acceptable Use Policy
4.1 Permitted Uses
You may use SettleWise for legitimate business purposes including:
- Processing and reconciling business payments
- Managing customer invoices and payment tracking
- Generating financial reports and analytics
- Integrating with authorized third-party services
4.2 Prohibited Uses
You may not use SettleWise to:
- Process payments for illegal activities or prohibited businesses
- Violate any applicable laws, regulations, or third-party rights
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the Service for money laundering, terrorist financing, or other financial crimes
- Process payments for adult content, gambling, or other restricted industries
- Reverse engineer, decompile, or attempt to extract source code
- Use automated systems to access the Service without authorization
5. Payment Terms and Billing
5.1 Subscription Plans
- SettleWise offers various subscription plans with different features and pricing
- Subscription fees are billed in advance on a monthly basis
- Refunds are governed by our Refund Policy
5.2 Payment Processing
- You authorize us to charge your designated payment method for all applicable fees
- If payment fails, we may suspend your account until payment is received
- You are responsible for keeping your payment information current
5.3 Transaction Fees
- Certain features may incur additional transaction-based fees

- You are responsible for maintaining valid accounts and authorizations with these services
- We are not responsible for the availability or functionality of third-party services

10. Limitation of Liability

- WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED
10.2 Limitation of Damages
- IN NO EVENT SHALL SETTLEWISE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
- SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU
10.3 Financial Decisions
- SettleWise provides tools and information but does not provide financial advice
- You are solely responsible for financial decisions made using our Service
- We recommend consulting with qualified professionals for financial advice
11. Indemnification
You agree to indemnify, defend, and hold harmless SettleWise and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your infringement of any third-party rights
12. Termination
12.1 Termination by You
- You may terminate your account at any time through your account settings
- Termination does not relieve you of payment obligations for services already provided
- You may request data export before termination
12.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms or our policies
- Your account becomes inactive for an extended period
- We are required to do so by law or regulation
- You fail to pay applicable fees
12.3 Effect of Termination
- Upon termination, your right to use the Service ceases immediately
- We may delete your data after a reasonable period following termination
- Provisions that should survive termination will remain in effect
13. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

We may modify these Terms at any time by posting updated Terms on our website. Continued use of the Service constitutes acceptance of modified Terms.
14.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
14.4 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
14.5 Force Majeure
We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, government actions, or network failures.
